These Service Agreement General Terms and Conditions (these “General Terms”) are between Hines Facilities Services Ltd. (“Supplier”), and the online customer (“Customer”) who has "Agreed To These Terms of Service & Fee Schedule" between Supplier and Customer. The Terms of Service and these General Terms constitute the entire agreement (the “Agreement”) of the Parties with respect to the matters set forth herein.

THE AGREEMENT, INCLUDING THESE GENERAL TERMS AND CONDITIONS, CONSTITUTES AN IMPORTANT DOCUMENT AND HAS SIGNIFICANT LEGAL CONSEQUENCES.  EACH PARTY REPRESENTS AND WARRANTS THAT IT HAS READ, UNDERSTANDS AND IS VOLUNTARILY ENTERING INTO THIS AGREEMENT.  BOTH PARTIES AGREE THAT THIS AGREEMENT COMPLIES WITH THE REQUIREMENTS, KNOWN AS THE EXPRESS NEGLIGENCE AND CONSPICUOUSNESS RULES, TO EXPRESSLY STATE IN A CONSPICUOUS MANNER TO AFFORD FAIR AND ADEQUATE NOTICE THAT THESE GENERAL TERMS AND CONDITIONS HAVE PROVISIONS REQUIRING ONE PARTY (THE INDEMNIFIER) TO BE RESPONSIBLE FOR THE NEGLIGENCE, STRICT LIABILITY, OR OTHER FAULT OF ANOTHER PERSON OR ENTITY (THE INDEMNITEE).
